Terms of Service

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Factory+ provides software that helps manufacturers capture supplier invoices, manage bills of materials, track supplier performance, and measure cost of goods sold across production batches, including AI-assisted data extraction and analysis. We may update, improve, or modify the Service from time to time.

The Service is offered on a subscription basis and may include a free trial period of 30 days. Unless you cancel before the end of the trial, your subscription will begin and the applicable fees will become payable.

Subscriptions renew automatically for successive periods until cancelled. Fees are billed in advance, are non-refundable except where required by law, and are exclusive of taxes, which you are responsible for. We may change our fees on prospective renewal with reasonable notice. You may cancel at any time, effective at the end of the current billing period.

You agree not to:

• use the Service in violation of any applicable law or regulation;
• upload content you do not have the right to use, or that infringes third-party rights;
• attempt to gain unauthorized access to, disrupt, or reverse engineer the Service;
• resell, sublicense, or use the Service to build a competing product; or
• introduce malware or use the Service to transmit unlawful or harmful material.

You retain all rights to the data, invoices, and other content you submit to the Service ("Customer Data"). You grant us a worldwide, non-exclusive license to host, process, and use Customer Data solely to provide, secure, and improve the Service and as described in our Privacy Policy. You are responsible for the accuracy and legality of Customer Data and for having the necessary rights to submit it.

The Service, including its software, design, and trademarks, is owned by Factory+ and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service. We retain all rights not expressly granted.

The Service integrates third-party services (for example, cloud hosting, AI processing, payment, and banking-data providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services. See our Privacy Policy for the subprocessors we use.

Each party may access confidential information of the other. Each party agrees to protect the other's confidential information with reasonable care and to use it only as necessary to perform under these Terms.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated outputs will be accurate. You are responsible for reviewing outputs before relying on them for financial or operational decisions.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability arising out of or relating to these Terms will not exceed the amounts you paid us for the Service in the twelve months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Factory+ from claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms.

These Terms remain in effect while you use the Service. We may suspend or terminate your access if you breach these Terms or to comply with law. You may stop using the Service at any time. Upon termination, your right to use the Service ceases; we may delete Customer Data after a reasonable retention period as described in our Privacy Policy.

We may modify these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new "Last updated" date). Your continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Delaware, unless otherwise required by applicable law.
